3. Eligibility
Our Services are intended for use by healthcare practices and their authorized representatives. By using our Services, you represent that:
- You are at least 18 years old
- You have the authority to bind your organization to these Terms
- You are a healthcare provider or authorized representative
- Your use complies with applicable laws and regulations
4. Account Registration
To use our Services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
5. HIPAA Compliance
For healthcare practice customers:
- We will execute a Business Associate Agreement (BAA) as required by HIPAA
- We implement appropriate safeguards for Protected Health Information (PHI)
- You remain responsible for your obligations as a Covered Entity
- Both parties agree to comply with applicable HIPAA requirements
6. Fees and Payment
- Subscription Fees: Services are billed monthly as specified in your service agreement
- Payment Terms: Payment is due upon invoice unless otherwise agreed
- Price Changes: We will provide 30 days notice of any price changes
- Taxes: You are responsible for applicable taxes
- Refunds: Refunds are provided in accordance with our refund policy
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Violate any applicable laws or regulations
- Interfere with or disrupt the Services
- Attempt to gain unauthorized access to our systems
- Use the Services to transmit harmful code or content
- Resell or redistribute the Services without authorization
8. Intellectual Property
TrueBridge AI retains all rights to:
- Our software, technology, and algorithms
- Our trademarks, logos, and branding
- Documentation and training materials
- Aggregated and anonymized data insights
You retain ownership of your practice data and patient information.
9. Service Level
We strive to maintain high availability of our Services. Our service level commitments include:
- 99.9% uptime target
- 24/7 monitoring and support
- Scheduled maintenance with advance notice
- Incident response and communication
10. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
11. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the fees paid in the 12 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages
- We do not guarantee specific results from using our Services
- Our AI provides assistance but does not replace professional medical judgment
12. Indemnification
You agree to indemnify and hold harmless TrueBridge AI from claims arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Content you provide through the Services
13. Termination
- By You: You may cancel your subscription at any time with 30 days notice
- By Us: We may terminate for material breach after notice and cure period
- Effect: Upon termination, your access ends and we will provide data export assistance
- Survival: Provisions regarding liability, indemnification, and intellectual property survive termination
14. Dispute Resolution
Any disputes will be resolved through:
- Good faith negotiation between the parties
- Mediation if negotiation is unsuccessful
- Binding arbitration under the rules of the American Arbitration Association
- Venue in the state of Delaware
15. Changes to Terms
We may update these Terms periodically. We will provide notice of material changes at least 30 days before they take effect. Continued use after changes constitutes acceptance.
16. General Provisions
- Entire Agreement: These Terms constitute the complete agreement between us
- Severability: Invalid provisions will not affect remaining Terms
- Waiver: Failure to enforce any provision is not a waiver
- Assignment: You may not assign these Terms without our consent
- Governing Law: These Terms are governed by Delaware law
